Terms of Service
These Terms are a binding agreement between you and Blockchain Intelligence LLC (Wyoming limited liability company), which operates the DEO Finance service.
Version 1.0 · Effective September 26, 2026
1. Agreement to These Terms
These Terms of Service (the "Terms") form a binding legal agreement between you ("you" or "User") and Blockchain Intelligence LLC, a Wyoming limited liability company doing business as DEO Finance ("DEO," "we," "us," or "our"). By creating an account, accepting these Terms, or using the service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not create an account or use the service. We record your acceptance, the version accepted, and the time of acceptance.
2. Non-Custodial Architecture & Regulatory Status
DEO Finance is a non-custodial software interface. Your wallet is a self-custodial Circle User-Controlled Wallet — an ERC-4337 smart contract account — for which the private keys and PIN are generated and held solely by you. We never take custody or control of your funds, cannot access your private keys or PIN, and cannot move, freeze, or reverse your transactions. You are solely responsible for safeguarding your credentials; loss of your PIN or recovery factors may result in the permanent, irreversible loss of access to your assets, which we cannot restore.
Because DEO Finance provides only non-custodial software and never accepts, holds, or transmits customer funds, we operate as a provider of non-custodial software consistent with the U.S. Financial Crimes Enforcement Network (FinCEN) interpretive guidance FIN-2019-G001, and we are not a money transmitter with respect to the wallet software.
3. Excluded Services
The service does not offer, and these Terms do not cover: (a) card issuance or any payment-card program; (b) deposit-taking, banking, or e-money services; (c) custodial money transmission or the holding of customer funds; or (d) investment, brokerage, lending, or exchange services operated by us. Any digital-asset value moves directly on public blockchains between self-custodial wallets that you control.
4. Third-Party Integrations
Certain features are provided exclusively by independent third parties under their own terms and privacy policies. Fiat on-ramp and off-ramp services are provided solely by Stripe, Inc., which is solely responsible for the associated money transmission and payment processing. USDC is a stablecoin issued by Circle Internet Financial and its affiliates. Identity verification is provided by Stripe Identity. We are not a party to, and are not responsible for, the acts, omissions, availability, or performance of these third parties, and your use of their services is governed by their agreements with you.
5. Eligibility, Sanctions & OFAC Compliance
You must be at least 18 years old and legally able to enter into these Terms. The service is not available to, and you may not access or use it if you are: (a) a resident of, or located or organized in, a comprehensively sanctioned jurisdiction, including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine; (b) a person on the U.S. Treasury Department's Office of Foreign Assets Control (OFAC) Specially Designated Nationals and Blocked Persons (SDN) List, or otherwise a target of sanctions; or (c) a resident of the State of New York. You represent and warrant that you are not subject to any of the foregoing restrictions and will not use the service on behalf of any person who is. We may screen, restrict, suspend, or terminate access as necessary to comply with sanctions and anti-money-laundering obligations.
6. Disclaimers, Limitation of Liability & Indemnification
The service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free. Digital assets are volatile and carry risk; you acknowledge and accept the risks of public blockchain protocols, smart-contract vulnerabilities, network congestion or failure, and the potential loss of a stablecoin's peg (de-pegging). We do not control and are not responsible for any public blockchain, the USDC issuer, or the performance of any digital asset.
To the maximum extent permitted by law, in no event will Blockchain Intelligence LLC, its members, managers, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or digital assets. Our aggregate liability arising out of or relating to the service and these Terms will not exceed the greater of one hundred U.S. dollars ($100) or the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Blockchain Intelligence LLC and its members, managers, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service, your violation of these Terms, or your violation of any law or the rights of any third party.
7. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any dispute, claim, or controversy arising out of or relating to these Terms or the service will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in Cheyenne, Wyoming, with the option to attend hearings virtually.
You and Blockchain Intelligence LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding (the "Class Action Waiver"). The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding. If the Class Action Waiver is found unenforceable as to a particular claim, that claim — and only that claim — shall be severed and brought in a court of competent jurisdiction.
8. Changes to These Terms
These Terms are versioned. Each published revision carries a version identifier, and the version in effect at the time of your acceptance is recorded together with an acceptance timestamp. When we make a material change, we will increment the version identifier and may ask you to review and accept the updated Terms before continuing to use the affected features. The current effective version is v1.0, effective September 26, 2026.
